Revlon Group Inc. will be taken private by its dominant stockholder, MacAndrews & Forbes Holdings, in a sweetened cash deal worth $20.10 a share, or about $784 million, the companies announced yesterday.

MacAndrews & Forbes Holdings, a firm controlled by Mr. Perelman, said it was thinking of making a proposal to buy for $18.50 a share the approximately 66 percent of Revlon's stock that it does not already own.

He owns 24 percent of National Health through his McAndrews & Forbes Holdings, which would get about $100 million in the deal.

Citigroup is underwriting a $600 million loan to Mr. Perelman's company, MacAndrews & Forbes Holdings, to finance the transaction, the executives said.

Mr. Perelman, who also controls Revlon Inc. through his investment company, MacAndrews & Forbes Holdings, which also owns First Gibraltar, was never expected to be a long-term owner of the bank.

In 1983, Perelman forms MacAndrews & Forbes Holdings to take MacAndrews & Forbes Group Inc. private.

In addition to Mr. Perelman's control of Marvel through his McAndrews & Forbes Holdings, Time Warner owns DC Comics, the second-largest publisher in the business.

Revlon, Inc. v. MacAndrews & Forbes Holdings, Inc., 506 A.2d 173 (Del. 1986) was a landmark decision of the Delaware Supreme Court on hostile takeovers.

AM General is now owned by MacAndrews & Forbes Holdings and the Renco Group.

Using the Pantry Pride subsidiary of his holding company, MacAndrews & Forbes Holdings, Perelman's overtures were rebuffed.
