The board of Fairchild Industries has adopted a shareholder rights plan intended to guard against various takeover tactics, the aerospace company announced Saturday.

The public interest is clearly that there should be a legislated solution to abusive takeover tactics.

Texaco, based in White Plains, said the new pill was intended to deter "coercive takeover tactics."

State officials, fearing a corporate exodus to states with anti-takeover laws, promised last fall to adopt a rule limiting takeover tactics that are considered excessive.

This takeover tactic is not for everyone: you must have some dead space adjoining your apartment.

Amfac Inc., the hotel, retail and Hawaiian real estate concern, said its directors had adopted a "poison pill" to "protect against abusive takeover tactics."

Or is Mr. Pickens defending his Mesa Inc. against the very sort of takeover tactics that he developed years ago?

I believe it is, because the statute's provisions will tend to prevent abusive takeover tactics while enabling fully financed, all-cash, takeovers to proceed.
